Nonprofit organizations depend on their board members for direction, advocacy, certain skill sets and securing needed resources. Choosing the right members is crucial.

Not for profit organizations rely heavily on their board members for fund raising, the provision of key skills and advocacy. Consequently it is imperative that the right community members be recruited for the board. Here are some key considerations for selecting board members.

Board Responsibilities

Board members are advocates for and representatives of the organization in the community. In addition, they have a fiduciary responsibility for the organization. Members should not be a rubber stamp for administration nor should they be micromanaging the day to day operations.

Specifically board members must:

  • Craft the mission, vision and values of the organization.
  • Set policy and delegate the responsibility for implementation to the executive director.
  • Recruit, hire, evaluate, guide and if necessary fire the executive director of the organization; provide the compensation package for the executive director.
  • Provide oversight and expertise.
  • Ensure compliance with established regulations.
  • Review financial statements, approve the budget and ensure that the financial assets of the organization are safeguarded and used appropriately.
  • Offer input and approve the strategic plan.
  • Monitor the progress towards the achievement of the goals and objectives set forth in the strategic plan.
  • Advocate for the organization and its constituents in the community.
  • Help acquire the resources needed to sustain the organization (e.g. help with fund raising efforts, donate funds or identify those with wealth that are interested in supporting the organization’s mission).

Criteria for Board Membership

Prospective members should be recruited using the job elements described above. It is important that the expectations associated with board membership be clearly explained. Prospective members must understand what is expected of them in terms of their roles and responsibilities. They also need to be aware of requirements for service such as meeting attendance.

Specifically, potential members must:

  • Have sufficient time to devote to doing the board’s work. The work of the nonprofit should not be squeezed into other commitments or be a resume builder for the prospective member.
  • Believe in the mission, vision and work of the organization.
  • Comprehend and accept the legal liabilities associated with the actions of the organization.
  • Understand and comply with their job as a board member – the give it get it or get off principle.
  • Possess key skills needed by the organization, such as financial planning, legal, marketing , and or fund raising expertise.

Membership on a not for profit organization’s board is a privilege. It is an active job not a passive exercise. Consequently, it is crucial that prospective members understand their responsibilities and that current member s recruit individuals with a passion for the organization and a willingness to serve.
